I have a 94 Marin with a Mag 21 1" Threaded. I want to upgrade with a 1 1/8" threadless fork (shock). Can I simply replace the 1" headset with a 1 1/8" headset to accept the new steerer tube?

You're stuck with one inch.

You can swap out your old headset for a new threadless 1" unit. There are plenty of choices available.

The fork is another story. 1" steerers are difficult to find, and it seems that Marzocchi 80mm forks are about your only choice these days. Check out PhatTire.com; they've got a decent selection.

You'll also need a threadless stem. There are some 1" threadless stems scattered around out there, but it'll be easier to find the size you want in 1-1/8" and use a special stem shim to fit it to your 1" fork.

And of course, if you currently use center pull cantilevers, you'll need to switch to a V-Brake or front disc setup, since suspension forks no longer have cantilever hangers on the arches.
